Missouri Secretary of State Corporations Division
The Missouri Secretary of State is responsible for the initial creation and certain maintenance filings for all 300,000 domestic Missouri and out-of-state business entities doing business in Missouri. These business entities include for-profit and nonprofit corporations, specialized business entities such as professional corporations, close corporations, agricultural cooperatives and mutual associations, and limited liability companies, limited partnerships and many others. The Corporations Division provides the forms and resources necessary for businesses and entrepreneurs to form their entity and maintain good standing status.
The Business Services Division is comprised of 3 units. The Corporations Unit handles the creation and maintenance of the over 300,000 business entities doing business in Missouri. The Commissions Unit performs an array of functions including commissioning notaries public. The UCC Unit processes personal property lien filings.
About the Corporations Division The Corporations Division provides many services necessary to ensure the valid legal existence of the various business entities authorized by law. These services allow business entities to obtain and maintain the requisite authority to transact business within Missouri. Submission and Approval of Corporate Filings Many Missouri business entities are created by submitting an initial filing to the Secretary of State. These creation filings include articles of incorporation, articles of organization, and certificates for certain partnerships. Corporations, limited liability companies and limited partnerships created under the laws of anther state, referred to by statute as "foreign" entities, must apply for a certificate of authority from the Secretary of State if that entity is "transacting business" in the State of Missouri. Whether an entity is "transacting business" is determined on a case-by-case basis and there is no statutory definition applicable. Missouri statute does provide, however, specific categories of activity which do not constitute "transacting business". The Secretary of State's Office cannot provide legal advice as to whether a foreign entity's activities reach the level of transacting business in the state, or whether a foreign entitiy qualifies for an exemption. Please contact your attorney for such advice. Existing entities are required to file other documents with the Secretary of State in certain circumstances. Most common among such documents are: restated articles, amended articles, mergers, dissolutions, applications for rescission of administrative dissolution, annual reports and notices of change of registered agent.. Forms for the filing of these and other documents are available without charge upon request submitted to the Corporations Division, 600 W. Main, Room 322, Jefferson City, MO 65102-0778. Payment of fees must be submitted when the documents are presented for filing. All documents filed with the Corporations Division must be typed or printed, and in most instances may be submitted on a form provided by the Secretary of State's Office or in an original form which meets all statutory requirements. Documents must be written in English, though entity names need not be in English if written in English letters. All documents filed with the Corporations Division must be executed as required by statutes. The statutes applicable to the various business entities have differing requirements as to who is to execute documents on behalf of an entity, and the requirements should be consulted before submitting a filing. The execution of any document filed with the Corporations Division constitutes an affirmation under the penalties set forth in Section 575.040 RSMo, that the facts stated in the document are true and that the person(s) executing the document is duly authorized to do so. A document is effective on the date it is filed by Corporations Division, as evidenced by the Secretary of State's date endorsement on the original document, unless otherwise stated in the document. Some documents may specify a delayed effective date (for example, a general business corporate document may specify a delayed effective date, though the date may not be later than the ninetieth day after the filing date).

About the Corporations Division
The Corporations Division of Secretary of the Commonwealth William Francis Galvin's Office is the repository for certain records of approximately two hundred and seventy-five thousand business and nonprofit corporations and approximately sixty thousand limited liability entities organized or registered to do business in the Commonwealth. In addition, the Corporations Division maintains records for limited partnerships and business trusts. Limited liability companies, limited liability partnerships, service marks, trademarks, and uniform commercial code (UCC) filings are also made with the Corporations Division.
Many of these entity records and filings may be viewed by the public as images in the corporate database. Those entity records and filings received prior to August 2001 were microfilmed or fiched and are available for public inspection from 8:45 a.m. to 5:00 p.m., Monday through Friday. All records of uniform commercial code filings may be viewed by the public as images in the UCC database. Those filings received prior to February 2001 were microfilmed or fiched and are available for public inspection from 8:45 a.m. to 5:00 p.m., Monday through Friday in the UCC Division.

Filing A Corporation With the Secretary of State
Choosing the type of business is a big decision which will affect how the business is owned and operated, who will be liable for the debts and obligations of the business, who will have a right to the assets of the business and your tax status. So the first step is registering with the Secretary of State.
If the business has employees or is a corporation, association, limited liability company, limited partnership or limited liability partnership, you will need to obtain a Federal Employer Identification Number (FEIN), which is assigned by the Internal Revenue Service. To request the SS-4 forms to obtain a taxpayer FEIN identification number from the Internal Revenue Service, call 1-800-829-1040 or visit the IRS Web site. If you are starting a sole proprietorship or a general partnership, you do not have to file with the Secretary of State or get an FEIN.
Once you obtain your FEIN, you must first file organization papers with the Secretary of State whether you are based inside or outside of the state. Obtain the correct form to organize the business, or have your attorney or accountant prepare the filings. Choose a business name and make sure it is available before your filings are prepared. If you are forming a corporation, association, limited liability company, limited partnership or limited liability partnership, you must use a name that is distinguishable from any other name that is registered or reserved with the West Virginia Secretary of State by any other company.
You can file to reserve your business name on the Secretary of Stateís Web site or at any of the walkin tax offices. A registration specialist will help you obtain a seven-calendar day or 120-calendar day hold on an available name. Maine Secretary of State Bureau of Corporations
The Bureau is responsible for elections, corporations, and a variety of central filing activities. The Bureau has significant contact with the public in many areas including the following: conduct of state elections; corporation filings; Uniform Commercial Code (UCC) filings; oversight of the Administrative Procedure Act (state agency rule-making); recording of appointments to state offices, boards, and commissions; secretariat to the Governor's Board on Executive Clemency ; and commissioning of notaries public. Annual traffic includes over 100,000 inquiries in person, over the phone, by mail, by fax, and by e-mail, and the maintenance of over 150,000 documents requiring action. Disclosure of financial information by state agency executive employees, previously filed with the Bureau of Corporations, Elections and Commissions, is now administered by the Commission on Governmental Ethics and Election Practices.

Georgia corporations, limited liability companies and limited partnerships are formed by filing with the Corporations Division. Some foreign (out of state) entities that do business in the state of Georgia are required to file with the Corporations Division. The Division serves as custodian of the filings and provides copies and/or certifications of the documents. As an administrative filing agency, the Division does not have authority to intervene in disputes between consumers and businesses, disputes between businesses, or disputes between shareholders, members, officers or other persons involved in an enterprise. Organization The Documents Registration Branch of BREG consists of the Documents Information Section, the Documents Processing Section and the Records Section. It provides an invaluable service to the business community in assuring that the information on file is readily available and accessible in order to support the free flow of commerce within the State. Without the availability of this information to the business community, commercial activity in the State would be substantially impaired, since the business community often relies on the information on record to support the extension of trade credit, commercial leases, real estate transactions and the delivery of financial services. The Documents Registration Branch processes over 100,000 documents each year and maintains the public registry of over 90,000 active business entities. The active files include business entities that have been on record with the State for over 100 years. Information is also retained for business entities that have been dissolved or canceled. Minimal information must be kept for these inactive files for the purposes of research, litigation, real estate transactions, and general business use. The Documents Information Section of the branch is responsible for responding to the public's requests for information. All phone inquiries and requests for documents are handled by this section. Phone inquiries regarding basic corporate information is handled by clerical staff with access to computer terminals providing essential information regarding the registration of any business. The basic information usually includes the names of the principals, officers or directors or partners, the address of the registrant and the date of filing of the registration. In addition to handling phone inquiries, the Documents Information Section also provides for the public access to the actual documents on file in the King Kalakaua Building in the Records Viewing Area where the public can view the actual business documents and request copies when necessary. The division also maintains computer terminals for individual use for those persons who are requesting information. The Records Viewing Area permits the public to view the original corporate, partnership or trade name documents on file which may provide specific information of a material nature not otherwise maintained on the division's computerized data base. The Records Section of the Documents Registration Branch provides for the maintenance of all business records registered with the division. This section is responsible for the proper order of all documents within a corporate or partnership file as well as the annual reports which each corporation and partnership must file in order to be in good standing with the State of Hawaii. In addition, the Records Section is responsible for the certification of all documents and copying of records for use by the business and legal communities in commercial transactions. Finally, the Documents Processing Section of the branch provides for the compliance review of all corporate, limited liability company, general and limited partnership, limited liability partnership, trade name, trademark and service mark applications to assure the meeting of statutory requirements in each registration or application. The Business Registration Assistants who review the documents also provide assistance to filers of documents with the division.

New Mexico BUSINESS SERVICES The Operations Division records, files, or registers different types of records used in commerce such as partnership registrations, trademark/service mark registrations, Uniform Commercial Code (UCC) filings, service of process on corporations, and agricultural liens. The Inspection of Public Records Act requires that records such as these be treated as public records and made available to the public. When calling the hotline, please be prepared to provide your name, the name of your company (if there is one) and your phone number. The Hotline Operator will evaluate your question and, if unable to provide an immediate response, will transfer you to someone qualified to answer your question. Your call might be transferred to another state agency, entities that partner with state government or outside the state system to local economic development contacts.
Information about your call will be entered into a database and used to determine the effectiveness of the system. The Hotline is operational Monday through Friday, 8:00 AM - 5:00 PM Central Time. There is no charge for this service. The Business Hotline is part of an ongoing effort to improve North Dakota's business climate.

Does the Secretary of State Check the Federal Trademark Registry Before Registration?
No. The registrant bears responsibility for any infringement on a federal registration. The Secretary of State may file a trade name registration, corporation, limited liability company or limited partnership, limited liability partnership, limited liability partnership or the reservation of the name of any of these as long as the proposed name is not the same as or deceptively similar to:

Choosing a Business Entity in Idaho
Selecting a particular form of business organization may be a difficult step in starting a business. Each type of organization raises different considerations relating to, among other things operations, personal liability, and tax status. The types of organizations are: general partnerships, limited partnerships (LP), limited liability partnerships (LLP), limited liability companies (LLC), and corporations. Assumed Business Names are discussed in a note below. The following descriptions are brief explanations of these entities; they are the only types now authorized by statute in Idaho. (Individuals may always begin a business under their own names as sole proprietors, but they would have essentially unlimited personal liability for the debts of the business.)
It is hoped that these short descriptions will be of use in selecting a type of organization.

GENERAL PARTNERSHIPS Idaho Code ß 53-3-101, et seq.
The general partnership is the oldest and simplest form of business organization. Indeed, individuals who engage in a common effort to make and share profits are legally partners whether they know it or not.
All partners share unlimited personal liability for the obligations of the partnership. With respect to taxes, the owners of a partnership are generally taxed only once.
Beginning in 2001, partnerships may be formally organized in Idaho by the filing of a statement of partnership authority. A partnership may be converted into a Limited Liability Partnership.
LIMITED PARTNERSHIPS Idaho Code 53-3-201, et seq.
Limited partnerships must have one or more general partners and one or more limited partners. The organizational documents filed with the Secretary of State's Office are not required to identify the limited partners.
Limited partners are not normally personally liable for the debts of the limited partnership. It is certainly possible for limited partners to lose the amounts they have invested. Beyond that, limited partners will normally be subjected to personal liability for the debts of the limited partnership only if they are actively engaged in the management of the entity.
LIMITED LIABILITY PARTNERSHIPS Idaho Code ß 53-3-1001, et seq.
The key word for LLP's is 'partnership';. They are more like general partnerships than LP's because all of the partners in an LLP benefit from some liability protection. The intent of the legislation creating this entity is to provide protection from personal liability for a partner in a general partnership for the acts of the partnership and other partners in the absence of the partner's own negligence, misconduct, or wrongful act. LLP's are taxed like partnerships.
LIMITED LIABILITY COMPANIES Idaho Code ß 53-601, et seq.
The Idaho Legislature in 1993 authorized the organization of Limited Liability Companies (LLC). The LLC has some of the characteristics of a sole proprietorship, some of a partnership, and some of a corporation. An LLC may, for tax purposes, be disregarded, be taxed like a partnership or taxed like a corporation.
The LLC has members rather than shareholders. Managers or members may exercise day to day management. The LLC is a business organization that operates under a contract (called an operating agreement) between the owners, much like a general partnership.
In order to have a legal existence, the LLC must file a Certificate of Organization with the Secretary of State. The members are protected from personal liability for the acts of the LLC in much the same manner as corporate shareholders. Unlike limited partnerships, personal liability is not imposed on members for participating in management of the LLC.
CORPORATIONS Idaho Code ß 30-1-101, et seq.
The corporation is the original structure for providing personal liability protection to the owners of a business. Although a corporation is now easier to organize, it may not be the best choice of entity for starting up a business. A corporation must have a board of directors that may be one person. A corporation must also maintain certain books and records and hold annual meetings of shareholders. In small, closely held corporations, the documentation of these activities may be more onerous than is warranted.
Unless qualified as an 'S' Corporation pursuant to extensive IRS rules, a corporation is subject to double taxation, i.e.; income is taxed at the corporate level and when it is distributed to shareholders as a dividend.
In addition to taxation and personal liability, other factors may enter into the decision on type of entity. These include:
* The perceived needs for a given management structure * The need for ease in transferring all or part of the ownership * The need for withdrawing the investment in the future * The need to conduct the business in more than one state either initially or in the future
A NOTE ON ASSUMED BUSINESS NAMES Idaho Code ß 53-501, et seq.
The filing of an Assumed Business Name (ABN) in the Secretary of State's Office does not create a distinct legal 'person' or any form of business organization. The filing has only one purpose- to give notice to anyone who inquires at the Secretary of State's Office that the person(s) who filed the ABN are doing business under the name in the Secretary of State's database. ABN's are also not an 'Idaho Business License' in any sense of that phrase.

Arizona Corporation Commission
Article 15 of the Arizona Constitution establishes the Arizona Corporation Commission. Only 7 states have constitutionally formed Commissions. Arizona is one of only 13 states with elected Commissioners. In the 37 other states, Commissioners are appointed by either the governor or the legislature.
In most states, the Commission is known as the Public Service Commission or the Public Utility Commission. Our Commission, however, has responsibilities that go beyond traditional public utilities regulation. These additional roles include facilitating the incorporation of businesses and organizations, securities regulation and railroad/pipeline safety.
By virtue of the Arizona Constitution, the Commissioners function in an Executive capacity, they adopt rules and regulations thereby functioning in a Legislative capacity, and they also act in a Judicial capacity sitting as a tribunal and making decisions in contested matters.

Alabama Secretary of State Business Services
In 1850, legislation authorized the Alabama Secretary of State to file and certify articles of incorporation for road construction companies and the Corporations Division was born. In the years that followed, steamship, railroad, banks, and insurance companies were required to file articles or charters of incorporation with the Secretary of State. In time, the Office of the Secretary of State became the depository for corporate records and the need for a Corporations section was evident. Today, the Corporations Division, staffed by 11 employees, receives some 500 requests each day for information regarding its 250,000 filings.
The Corporations Division operates as a depository for records of domestic corporate entities and foreign entities that have qualified to transact business in Alabama. The types of entities we serve include For-Profit Corporations, Non-Profit Corporations, Limited Liability Companies, Limited Partnerships, and Registered Limited Liability Partnerships.

Business Division Duties and Functions
The Business Division of the Department of State administers the following types of entities:

Secretary of State Colorado Business Division
The Business Division is one of the several divisions of the Colorado Department of State. Other divisions include Elections (Election Code, Fair Campaign Practices Act, Initiative and Referendum, and Lobbyist Registration), Licensing & Enforcement (Bingo-Raffles/Charitable Gaming, Notaries Public, Rules, and Charitable Solicitations), Administration (Personnel, Accounting and Budget, and Communications/Public Relations) and Information Systems (IT Support and Automated Data Processing). All divisions function under the direction of the Colorado Secretary of State. This article describes the purposes and functions of the Business Division1 ("Division") and provides information on its services.
Handling Business and Commercial Matters
By delegation from the Secretary of State, the Division performs the duties and exercises the authority vested in the Secretary of State through a variety of laws concerning the filing of documents, maintaining of records, and retrieval and dissemination of information pertaining to various business and commercial matters. These matters include certain business and nonprofit entities, unincorporated associations, business names, trade names, and trademarks. They also include records under the Uniform Commercial Code-Secured Transactions ("Revised Article 9" of the UCC); Effective Financing Statement records (security interests in farm products); and other miscellaneous lien records, including such liens as agistor's liens,2 nonpossessory statutorily created agricultural liens,3 Colorado Housing and Finance Authority liens,4 federal tax liens,5 harvester's liens,6 hospital liens,7 notices of liens created by operation of law to secure payment of child support,8 and "stud service" liens.9
The employees of the Division are available to assist the public regarding these matters by answering questions regarding the filing of records pursuant to these laws. The Division provides online filing, searching, copying and certification programs, along with other information, on the Secretary of State's website (www.sos.state.co.us), under the "Business Center." The website also provides paper forms and electronically fillable forms (forms in 'pdf' format that can be downloaded, completed "onscreen" and then printed) for many common transactions. The Division receives, examines, and files a variety of records delivered to the Secretary of State pursuant to these laws and returns those that are not entitled to filing with an explanation. Further, the Division creates and maintains an index of all filed records in a computerized database (some older records are on microfiche and microfilm), as well as digital images of paper-based records. Public access to the computerized database and digital images and various search, copying, and certification services are made available regarding these records and images. The Division also provides for bulk sales of data and images.
The Division consults with an advisory committee of attorneys and also with other constituents regarding issues confronting it. It analyzes existing laws, and participates in drafting and lobbying for new legislation. The Division also promulgates and publishes rules, as required by law, as well as participates in an international association of offices similar to Colorado's.10 Finally, the Division monitors developments in other jurisdictions and offers a variety of public educational opportunities regarding the functions, services, and activities of the Division.
